Terms of Service

1. Acceptance of Terms

By accessing or using Invinly (the "Service"), a product of Aware LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. Description of Service

Invinly provides medical inventory management software including ambulance stock tracking, station supply management, RFID scanning integration, mobile applications, and AI-powered supply analytics. The Service is intended for use by healthcare facilities, EMS agencies, fire departments, and related organisations.

Important Notice: Invinly is an inventory management tool only. It is not a medical device, does not provide medical advice, and should not be used as the sole method of verifying medication or equipment availability in emergency situations. Users are solely responsible for ensuring the accuracy of their inventory data.

3. Accounts and Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised account access at support@invinly.com.
• You must be at least 18 years old to create an account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Introduce malware, viruses, or other harmful code
• Scrape, copy, or reverse engineer any part of the Service without our written consent
• Use the Service to store or transmit data in violation of applicable privacy laws
• Misrepresent your identity or affiliation when using the Service
• Resell or sublicense the Service without our express written consent

5. Subscription and Payment

Access to certain features of the Service may require a paid subscription.

• Subscription fees are billed in advance on a monthly or annual basis as selected.
• All fees are non-refundable except as required by law or as otherwise stated in your subscription plan.
• We reserve the right to change pricing with at least 30 days' notice.
• Failure to pay may result in suspension or termination of your account.
• You are responsible for any applicable taxes.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you enter into the Service ("Your Data"). By using the Service, you grant us a limited licence to store, process, and use Your Data solely to provide and improve the Service.

You are responsible for ensuring that Your Data complies with applicable laws, including HIPAA if applicable to your organisation. We are not a HIPAA Business Associate by default; please contact us to discuss a Business Associate Agreement if required.

7. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content, is the exclusive property of Aware LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during the term of your subscription.

8. Third-Party Services

The Service may integrate with or link to third-party services (e.g., RFID hardware providers, payment processors). We are not responsible for the availability, accuracy, or practices of any third-party services. Your use of such services is governed by their own terms and policies.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

We make no warranty regarding the accuracy, completeness, or reliability of any AI-powered insights or analytics provided by the Service.

10. Limitation of Liability

To the fullest extent permitted by law, Aware LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aware LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the agreement at any time. We reserve the right to suspend or terminate your access to the Service immediately, without notice, if you violate these Terms or engage in conduct we determine to be harmful to other users or the Service.

Upon termination, your right to access the Service ceases immediately. We will provide a reasonable opportunity to export Your Data before permanent deletion, unless termination is due to a violation of these Terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before changes take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms.
